This Membership Agreement ("Agreement") is entered into between Respanet Information Technologies Trade Limited Company ("Company"), located at Deliktaş Mahallesi 1989 SK NO: 54/A Denizli / Pamukkale with tax ID number 6250895879, and the individual or legal entity ("Member") who wishes to use the services ("Services") offered under the brand ("Respanet") on the ("Site"). This Agreement sets forth the terms and conditions of use.
By accepting this Membership Agreement, the Parties agree to act in accordance with the terms specified below.
2.1 Agreement: The document that includes this Service Agreement and its annexes, establishing the rights and obligations of the parties.
2.2 Company: Respanet Information Technologies Trade Limited Company, located at Deliktaş Mahallesi 1989 SK NO: 54/A Denizli / Pamukkale with tax ID number 6250895879.
2.3 Respanet: The brand name under which the Company provides Services.
2.4 Site: The website operated under the Respanet brand, known as https://respanet.com.tr.
2.5 Services: All services offered under the Respanet brand and on the Site.
2.6 Member: The real or legal person registered to benefit from the Services offered under the Respanet brand.
3.1 This Agreement assumes the accuracy of the information provided by the Customer during registration on the Site and covers transactions, orders, messages, permitted and prohibited actions on the Site, the services to be received according to the orders, and the fees to be paid to Respanet in return for these services.
3.2 Customer information is the information provided during membership registration. Since this information forms the basis of operations, it is assumed that the Customer has entered this information completely, accurately, and correctly.
3.3 Respanet may require the sharing and verification (via confirmation codes, etc.) of contact information such as email or mobile phone for security protocols in cases like membership, order placement, or support requests.
3.4 Respanet may send notifications or newsletters to inform about updates related to services or the general system, using the contact information provided by the Customer at the time of registration.
3.5 The Customer is solely responsible for the login credentials of their account on the Site.
4.1 Respanet shall provide the services or products in accordance with the Customer’s orders submitted through the Site or other digital channels.
4.2 Respanet may create a payment plan for the services it provides. The Customer agrees and undertakes to pay the specified service fee including VAT in advance at the beginning of each service period.
4.3 Upon approval and acceptance of the order by Respanet, the company shall send an email containing server details, control panel access, FTP, SQL, or email usernames, passwords, and login addresses related to the ordered services.
4.4 The Customer agrees and undertakes to comply with the instructions, notices, and warnings issued or sent by Respanet under Law No. 5651 and related legislation concerning the services purchased.
5.1 This Agreement is established when the user checks the box confirming that they have read and understood the agreement during Site registration, and the rights and obligations of the parties begin from that moment.
5.2 The duration of the Agreement corresponds to the billing period selected by the Customer for the relevant services.
5.3 Unless one party notifies the other at least 15 business days before the end of the term, the Agreement shall be automatically renewed for the same duration under the same terms and conditions.
6.1 Respanet may immediately and unilaterally terminate this Agreement without any additional obligation if it determines that the services provided violate the law, contain criminal elements, if the Customer fails to fulfill payment obligations, breaches the terms and technical requirements stated on the Site, or harms Respanet or other users.
6.2 If the Customer fails to fulfill any obligations under this Agreement, especially payment obligations, or if the information provided during or after registration is found to be incorrect, Respanet reserves the right to unilaterally terminate the Agreement without prior notice or liability.
7.1 The Customer is responsible for entering accurate contact details such as address, phone, and email into Respanet’s system and for keeping them up to date.
7.2 The parties agree and declare that the postal addresses provided at the time of order shall be considered legal residence and official notification addresses.
7.3 In case of any change in these addresses, the party must inform the other party in writing and through the system within 2 (two) business days.
7.4 During the term of the Agreement, Respanet may send messages, notices, statements, warnings, invoices, account statements, and other documents to the Customer’s email address.
The parties agree to resolve any disputes arising from this Agreement first through mutual negotiation and good faith. If a resolution cannot be reached through negotiations, the courts and enforcement offices of Bolu shall have jurisdiction over all disputes arising from this Agreement.
9.1 Respanet undertakes to keep confidential all personal and financial information such as name, surname, national ID number, address, phone, email of customers using its services.
9.2 Respanet does not store credit card information.
9.3 Unless the Customer objects in writing, Respanet may publish the names, addresses, and types of services provided to websites, institutions, and organizations as references on the Site.
10.1 The Customer agrees not to disclose confidential information obtained during the performance of this Agreement to any third parties without written consent from Respanet and to maintain its confidentiality.
10.2 In the event of a confidentiality breach, the violating party agrees to compensate all damages and pay a penalty of 50,000.00 Turkish Lira to the damaged party.
10.3 Regardless of how the Agreement ends, both parties agree to continue honoring the confidentiality clauses after termination.
11.1 Events beyond the control and reasonable oversight of the parties that prevent or delay the fulfillment of the obligations under this Agreement shall be considered force majeure events.
11.2 When a force majeure event arises, the affected party must immediately notify the other party.
The Customer agrees that all books and records of Respanet shall constitute valid, binding, conclusive, and exclusive evidence in case of any disputes arising from this Agreement.
The parties may not assign or transfer any of their rights or obligations under this Agreement.
The stamp duty arising from this Agreement shall be paid by the Member. This Agreement consists of 14 main articles and their sub-clauses and is acknowledged to have been read and understood by the parties. It may be executed electronically or physically, and both formats shall be equally valid. Respanet reserves the right to add, remove, or modify articles or sub-clauses as needed. The Member irrevocably declares and undertakes that they accept these changes in advance and that such changes shall become effective as of the date of their publication on Respanet’s website.
